These Terms of Service (“Terms”) are a binding agreement between Strathex Systems LLC, a Wyoming limited liability company (“Company,” “we,” “us,” or “our”), and any person or entity (“you,” “your”) who accesses or uses The Thai Road website and related services (the “Site” or “Service”). By accessing or using the Site, or by purchasing an Access Pass (defined below), you agree to these Terms. If you do not agree, do not use the Site.

1. Interpretation & Definitions
1.1 Interpretation. Headings are for convenience and do not affect meaning. “Including” means “including without limitation.” Singular includes plural and vice versa. These Terms will not be construed against the drafter.
1.2 Definitions.
“Access Pass” means a one-time, time-limited right to view designated gated content on the Site. An Access Pass is not a subscription, does not auto-renew, and confers no download, resale, or republication rights.
“Affiliate” means an entity controlling, controlled by, or under common control with a party.
“Content” means text, images, data, and materials made available on the Site by the Company (the Site does not host user-generated content).
“User,” “you,” “your” means the person or entity accessing or using the Site.
2. Service Description; What We Do Not Do
2.1 Editorial directory. The Thai Road is an editorial, age-restricted directory and guide to nightlife and massage venues in Thailand intended for informational purposes.
2.2 No illegal facilitation or explicit hosting. We do not (a) host explicit content; (b) host user-generated listings, reviews, or media; (c) advertise, promote, or facilitate prostitution, escorting, or the procurement of sexual services; (d) broker reservations for illegal activity; (e) provide professional, legal, or safety advice.
2.3 No endorsement or guarantee. Listings are curated from publicly available or venue-provided information. We do not guarantee legality, safety, quality, availability, or suitability of any venue. Conditions change; verify locally.
3. Eligibility; Age; Territory & Sanctions
3.1 Age. You must be 18+ (or the age of majority in your jurisdiction, if higher). We may present an age-gate and require age/ID verification where risk, law, or processor policy requires. If you cannot or will not verify when requested, access may be denied or revoked without refund except as required by law or our Refund Policy.
3.2 Territory & sanctions. You represent you are not (a) located in, resident in, or accessing from a country/region subject to comprehensive OFAC sanctions; (b) on any U.S. or applicable government sanctions/denied-party list; or (c) otherwise prohibited from receiving the Service. We may geo-block, restrict, or terminate access to comply with sanctions, AML, export controls, card-network or processor policies.
4. Accounts; Security; Electronic Communications
4.1 Accounts & single-user access. You are responsible for your credentials and all activity under your account. Do not share logins or permit concurrent multi-user access under one account.
4.2 Security. Notify support@thethairoad.com immediately of any suspected breach. We may require password resets, MFA, or account verification.
4.3 Electronic communications. You consent to receive communications electronically (email, in-product notices), satisfying any requirement that communications be in writing.
5. Acceptable Use
You agree not to:
- (a) promote, solicit, or facilitate prostitution/escorting, trafficking, exploitation, or other unlawful activity;
- (b) target, depict, or involve minors in any way;
- (c) scrape, spider, crawl, harvest, or otherwise automate access; circumvent access controls, rate limits, or DRM/technical protections;
- (d) upload malware; probe, scan, or test vulnerabilities; disrupt or overload the Service;
- (e) misrepresent identity, age, location, or payment credentials; use VPNs, proxies, or other means to circumvent geo-blocking or sanctions;
- (f) infringe copyrights, trademarks, privacy/publicity, or other rights;
- (g) harass, stalk, dox, threaten, or defame;
- (h) engage in fraudulent payments, friendly-fraud chargebacks, or refund abuse;
- (i) use the Site contrary to law, regulation, card-network rules, or processor policies.
We may remove materials, restrict features, or suspend/terminate access to protect users, manage risk, or comply with legal/processor obligations.
6. Access Passes (One-Time Purchases Only)
6.1 Nature. An Access Pass grants time-limited viewing rights to designated gated content as described at purchase. No resale, transfer, sublicensing, or credential sharing. No downloads unless expressly provided.
6.2 Price, currency, taxes. Prices are displayed in USD before payment; applicable taxes (if any) are shown at checkout based on billing address. Your bank may assess FX or cross-border fees.
6.3 Delivery. Access typically activates immediately after successful payment; we email a confirmation.
6.4 Descriptor disclosure. Your statement will show a descriptor similar to “[DESCRIPTOR e.g., STRATHEX*THAI ROAD]” (exact text may vary by processor/bank). The descriptor appears in your receipt.
6.5 No auto-renewal. Access Passes do not auto-renew. To extend access, purchase a new pass when available.
7. Payments; PCI; Fraud Screening; Chargebacks
7.1 PCI & processors. Payments are handled by third-party PCI-DSS-compliant processors and acquiring banks. We do not store full card numbers.
7.2 Risk controls. We may use fraud/risk tools and reserve the right to decline, limit, reverse, or refund transactions to comply with law, sanctions, AML/KYC, or processor policy. We may request additional information to validate identity, age, or payment.
7.3 Contact us first. Email billing@thethairoad.com before initiating a chargeback; most issues are resolved faster this way. Filing a chargeback without contacting support may delay resolution.
7.4 Refund path. Any approved refund is returned to the original payment method (subject to processor/bank timing). See our Refund Policy for details.
7.5 Error window. Report suspected billing errors within 30 days of the charge date.
8. Service Changes; Availability; Maintenance; Beta
8.1 Changes. We may add, remove, or modify features or Content at any time.
8.2 Availability. We strive for high availability but do not guarantee uninterrupted access. Your device, ISP, and location affect performance.
8.3 Maintenance/emergencies. We may suspend access for maintenance, security, or legal reasons.
8.4 Preview/Beta. Any preview/beta is provided AS IS and may be changed or discontinued without notice.
9. Intellectual Property; License; Anti-Scraping
9.1 Ownership. The Site and all Content are owned by the Company or its licensors and protected by U.S. and international IP laws.
9.2 Limited license. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access the Site and view Content for personal, lawful use while your Access Pass is valid.
9.3 Restrictions. You may not copy, reproduce, distribute, publicly display, frame, mirror, modify, make derivative works of, or otherwise exploit the Site or Content. Automated access/scraping is prohibited.
9.4 Trademarks. THE THAI ROAD, STRATHEX SYSTEMS, and associated marks are our trademarks. Third-party names/logos are the property of their owners.
10. No UGC; Submissions & Feedback
10.1 No user-generated content. The Site does not host public user content, reviews, or comments.
10.2 Submissions/feedback. If you send suggestions or materials, you grant us a perpetual, irrevocable, worldwide, sublicensable, royalty-free license to use them without obligation. Do not submit illegal or third-party confidential/proprietary content.
11. Third-Party Links & Services
The Site may link to third-party sites/services. We are not responsible for their content, policies, or practices. Review their terms and privacy policies separately.
12. Safety; Reporting; Cooperation with Authorities
12.1 Safety program. We maintain policies to deter illegal use, including anti-trafficking/anti-exploitation and minor-safety controls. We may require age/ID verification.
12.2 Reporting. Report suspected violations to abuse@thethairoad.com with URLs and details. We review promptly and take appropriate action.
12.3 Cooperation. We may preserve and disclose information if reasonably necessary to: comply with law, regulation, legal process, or governmental request; enforce these Terms; address fraud, security, or technical issues; or protect the rights, property, or safety of users or the public.
13. Privacy; Cookies; “Do Not Track”
Your use of the Site is governed by our Privacy Policy and Cookie Policy, incorporated by reference. We use cookies and similar tech for functionality and analytics. Where feasible, we honor Global Privacy Control (GPC) signals for analytics. We do not knowingly collect data from minors.
14. Disclaimers
THE SITE, CONTENT, AND ACCESS PASSES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AVAILABILITY, NON-INFRINGEMENT, AND NON-INTERRUPTION. WE DO NOT WARRANT THE LEGALITY, SAFETY, QUALITY, OR AVAILABILITY OF THIRD-PARTY VENUES LISTED ON THE SITE.
Some jurisdictions do not allow certain disclaimers; to that extent, they may not apply to you.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNTS YOU PAID TO US IN THE 90 DAYS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations; to that extent, they may not apply to you.
16. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, agents, and Affiliates from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your misuse of the Site; (b) your breach of these Terms; (c) your violation of law; or (d) your infringement of third-party rights.
17. Suspension; Termination
We may suspend or terminate access (and/or revoke an Access Pass) if we reasonably believe you breached these Terms, engaged in fraud or unlawful conduct, or if required by law, a payment processor, bank, or authority. Fees are not refunded except as set out in the Refund Policy or required by law. Upon termination, all rights granted to you terminate immediately.
18. Governing Law; Dispute Resolution; Arbitration; Class Waiver; Time-Bar
18.1 Governing law. These Terms are governed by the laws of the State of Wyoming, excluding conflict-of-laws rules.
18.2 Informal resolution. Before filing a claim, email legal@thethairoad.comwith a brief description and your contact info to allow good-faith resolution within 30 days.
18.3 Arbitration. Except for claims for injunctive relief related to IP or security, any dispute arising out of or relating to these Terms or the Site will be resolved by binding arbitration administered by JAMS or AAA under their commercial rules by a single arbitrator, seated in Cheyenne, Wyoming, in English.
18.4 Class/jury waiver. Disputes must be brought individually; class, collective, representative, or private attorney general actions are not permitted. You and we waive jury trial.
18.5 Time-bar. Any claim must be filed within one (1) year of the event giving rise to the claim; otherwise it is permanently barred to the extent permitted by law. (If non-waivable local consumer rights require different terms, those rights remain to the minimum extent required.)
19. Compliance with Laws; Card-Network Rules; Export; Anti-Corruption
You represent and warrant that your use complies with applicable laws and regulations, including anti-trafficking laws, age-verification requirements, sanctions/export controls, and card-network rules. You agree not to export, re-export, or transfer the Service except as permitted by U.S. law. You will not engage in bribery or corrupt practices (including under the U.S. FCPA or similar laws).
20. Assignment; Subcontracting; No Third-Party Beneficiaries
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an Affiliate or successor. We may use subcontractors. These Terms create no third-party beneficiary rights.
21. Force Majeure
We are not liable for delay or failure to perform due to events beyond our reasonable control, including acts of God, internet failures, power outages, strikes, labor disputes, governmental actions, war, civil unrest, epidemic/pandemic, or natural disasters.
22. Notices
Formal notices to us must be sent to [LEGAL NOTICE EMAIL] with a copy by mail to [BUSINESS ADDRESS]. We may provide notices to you via email to your last known address or by prominent on-Site posting.
23. Modifications to these Terms
We may modify these Terms at any time. Material changes will be posted with an updated “Last updated” date and, where reasonable, additional notice. Changes take effect upon posting unless stated otherwise. Continued use after changes become effective constitutes acceptance.
24. Severability; Waiver; Entire Agreement; Survival; Further Assurances
If any provision is held invalid or unenforceable, it will be enforced to the fullest extent permissible and the remainder will remain in effect. No waiver is effective unless in writing; failure to enforce is not a waiver. These Terms, together with policies incorporated by reference (Privacy, Cookie, Refund), constitute the entire agreement regarding the Site and supersede all prior understandings. Sections that by their nature should survive (e.g., IP, Disclaimers, Limitation, Indemnification, Governing Law/Arbitration, Time-Bar) survive termination. Each party will execute further documents reasonably necessary to give effect to these Terms.
